Terms of Service — AmpPilot

These Terms of Service ("Terms") govern your access to and use of the AmpPilot platform and related services ("Service"). Please read them carefully before using the Service.

The Service is operated by AmpPilot Solutions ("AmpPilot", "we", "us", or "our").

By accessing or using the Service, you acknowledge that you have read, understood, and agree to be bound by these Terms. If you do not agree, do not use the Service.

1. Description of Service

AmpPilot is a marketing operations platform that assists users in planning, executing, and optimizing marketing activities through automated systems and AI-assisted reasoning. The Service may analyze marketing context and data, generate marketing content and copy, assist with campaign planning and strategy, recommend or execute actions within user-configured constraints, and reallocate budgets within user-defined limits. AmpPilot provides decision assistance and automated execution tools within user-defined parameters. It does not provide financial, legal, regulatory, or professional marketing advice, and does not guarantee business results or marketing outcomes of any kind.

2. Eligibility & Account Registration

You must be at least 18 years of age and have legal authority to enter into binding contracts on behalf of yourself or your organization. By registering, you represent that all information you provide is accurate and current, you will maintain the security of your account credentials, you will promptly notify us of any unauthorized access, and you are not located in a jurisdiction subject to applicable sanctions or export control restrictions. You are responsible for all activity occurring under your account.

3. Automation & AI-Assisted Functionality

AmpPilot uses automated systems and AI models to assist marketing activities. You acknowledge that all decisions are made within constraints you configure, AI models assist with reasoning and content generation but do not independently control spend or risk outside your defined limits, manual override and pause controls are available at all times, and automated outputs may contain errors or inaccuracies. You are solely responsible for reviewing, supervising, and approving automated outputs before publication or execution. AmpPilot does not warrant the accuracy, completeness, or fitness for purpose of any AI-generated output.

4. User Responsibilities

You are solely responsible for configuring appropriate approval thresholds, risk limits, and budget caps, monitoring all campaigns and automated activity, ensuring compliance with all applicable advertising, marketing, data protection, and consumer protection laws in all jurisdictions you operate in, obtaining all necessary consents and licenses for content and data you use within the Service, reviewing all outputs prior to publication, and ensuring your activities do not infringe third-party intellectual property rights. AmpPilot does not assume fiduciary, financial advisory, legal, compliance, or regulatory responsibility of any kind.

5. Subscription, Billing & Payment

All fees are stated in USD unless otherwise specified. Fees are billed in advance on a monthly or annual basis as selected. Subscriptions auto-renew unless cancelled at least 48 hours before the end of the current billing period.

Payments for the Service are processed through authorised third-party payment processors. Depending on your location and payment method selected at checkout, your transaction may be processed by Paddle as Merchant of Record and authorised reseller, or by another authorised payment processor.

Where payment is processed by Paddle as Merchant of Record, your purchase contract for payment purposes is with Paddle and you agree to Paddle's Buyer Terms available at paddle.com/legal/buyer-terms. Refunds for Paddle-processed transactions are provided at Paddle's sole discretion on a case-by-case basis in accordance with Paddle's Refund Policy. Refund requests must be submitted within 14 days of the transaction date by contacting Paddle directly. There are no refunds on unused subscription periods. If you are a Consumer resident in the EU or UK, your statutory right to cancel within 14 days applies except where digital content has already been accessed. Consumer statutory rights are not affected by these Terms.

Where payment is processed by any other authorised payment processor, AmpPilot remains the contracting party for all service-related matters. Refund requests in such cases must be submitted to support@amppilot.com within 14 days of the transaction date and are subject to AmpPilot's discretion. There are no refunds on unused subscription periods.

We reserve the right to modify pricing with 30 days written notice. Failure to pay may result in suspension or termination of your account. You are responsible for all taxes applicable to your subscription in your jurisdiction except where Paddle collects and remits such taxes as Merchant of Record.

6. No Guarantee of Results

Marketing performance depends on numerous factors outside AmpPilot's control. AmpPilot makes no guarantee regarding revenue growth, campaign performance, return on advertising spend, regulatory compliance in any jurisdiction, or uninterrupted availability of the Service. All marketing involves inherent risk. You assume full responsibility for business decisions made using or informed by the Service.

7. Disclaimer of Warranties

THE SERVICE IS PROVIDED ON AN "AS IS" AND "AS AVAILABLE" BASIS WITHOUT WARRANTY OF ANY KIND. TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, AMPPILOT EXPRESSLY DISCLAIMS ALL WARRANTIES, WHETHER EXPRESS, IMPLIED, STATUTORY, OR OTHERWISE, INCLUDING WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, NON-INFRINGEMENT, ACCURACY OR RELIABILITY OF OUTPUTS, AND THAT THE SERVICE WILL BE UNINTERRUPTED OR ERROR-FREE.

8. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, AMPPILOT SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES OF ANY KIND, INCLUDING WITHOUT LIMITATION LOSS OF PROFITS, LOSS OF REVENUE, ADVERTISING SPEND LOSSES, WASTED MEDIA BUDGET, DATA LOSS, BUSINESS INTERRUPTION, LOSS OF GOODWILL, REGULATORY PENALTIES, OR THIRD-PARTY PLATFORM ACTIONS.

WHERE THE SERVICE IS PURCHASED THROUGH PADDLE AS MERCHANT OF RECORD, AMPPILOT'S LIABILITY IS LIMITED SOLELY TO THE SERVICE ITSELF AND ITS FUNCTIONALITY. PADDLE'S OWN LIABILITY IN RESPECT OF PAYMENT PROCESSING, REFUNDS, AND TRANSACTION DISPUTES IS GOVERNED EXCLUSIVELY BY PADDLE'S BUYER TERMS AT PADDLE.COM/LEGAL/BUYER-TERMS.

WHERE THE SERVICE IS PURCHASED THROUGH ANY OTHER AUTHORISED PAYMENT PROCESSOR, AMPPILOT'S TOTAL AGGREGATE LIABILITY TO YOU FOR ANY AND ALL CLAIMS ARISING OUT OF OR RELATING TO THESE TERMS OR THE SERVICE SHALL NOT EXCEED THE TOTAL SUBSCRIPTION FEES ACTUALLY RECEIVED BY AMPPILOT IN RESPECT OF YOUR ACCOUNT IN THE TWO (2) MONTHS IMMEDIATELY PRECEDING THE EVENT GIVING RISE TO THE CLAIM.

AMPPILOT ACCEPTS NO LIABILITY FOR THE ACTS OR OMISSIONS OF ANY THIRD-PARTY PAYMENT PROCESSOR IN THEIR CAPACITY AS PAYMENT PROCESSOR OR MERCHANT OF RECORD.

These limitations apply regardless of the form of action, whether in contract, tort including negligence, strict liability, or otherwise, and even if AmpPilot has been advised of the possibility of such damages occurring.

9. Indemnification

You agree to defend, indemnify, and hold harmless AmpPilot and its officers, employees, contractors, and agents from any claims, damages, losses, liabilities, costs, and expenses (including reasonable legal fees) arising from your use or misuse of the Service, your violation of these Terms or applicable law, campaigns or content you authorize through the Service, or any claim that content you submitted infringes a third party's rights.

10. Intellectual Property

You retain full ownership of your brand assets, marketing data, creative content, and audience data. By uploading content you grant AmpPilot a limited, non-exclusive, royalty-free license to use such content solely to provide the Service. AmpPilot retains all rights in its platform software, infrastructure, algorithms, models, and system architecture. AmpPilot may use de-identified, aggregated insights derived from usage to improve platform functionality.

11. Third-Party Services & Integrations

AmpPilot is not responsible for the availability, accuracy, or behavior of third-party services including advertising platforms, AI model providers, or payment processors. Third-party outages, API changes, or platform enforcement actions are outside AmpPilot's control. Your use of third-party services is governed by their respective terms. AmpPilot shall have no liability for loss or damage arising from your reliance on third-party integrations.

12. Acceptable Use

You agree not to violate any applicable law or third-party rights, generate harmful, deceptive, or infringing content, conduct spam or phishing activities, reverse engineer or extract source code from the platform, circumvent security features, scrape data from the Service, or resell or sublicense access without prior written consent.

13. Suspension & Termination

AmpPilot may suspend or terminate your access immediately for violation of these Terms, non-payment, security risk, or legal requirement. You may terminate your account at any time. Termination does not entitle you to a refund of prepaid fees. Sections 7, 8, 9, 10, 14, 15, and 16 survive termination.

14. Confidentiality

Each party agrees to keep confidential any non-public information disclosed by the other party that is designated confidential or reasonably should be understood to be confidential. This obligation does not apply to publicly available information or information required to be disclosed by law.

15. Force Majeure

AmpPilot shall not be liable for delay or failure to perform due to causes beyond its reasonable control, including acts of God, infrastructure outages, cyberattacks, government actions, war, or pandemic. AmpPilot will use reasonable efforts to resume performance as soon as practicable.

16. Governing Law & Dispute Resolution

These Terms shall be governed by the laws of India. In the event of any dispute, the parties shall first attempt good faith negotiation for 30 days from written notice of the dispute. If unresolved, the dispute shall be subject to the exclusive jurisdiction of the competent courts in Mumbai, Maharashtra, India.

17. Changes to These Terms

AmpPilot may modify these Terms at any time. Material changes will be communicated by updating the Last Updated date and where appropriate by email. Continued use after the effective date constitutes acceptance.

18. Severability & Waiver

If any provision is found invalid or unenforceable, remaining provisions continue in full force. Failure to enforce any provision does not constitute a waiver.

19. Entire Agreement

These Terms, together with our Privacy Policy and any applicable Order Form or Subscription Agreement, constitute the entire agreement between you and AmpPilot regarding the Service.
